256 V O L . 7 5 P A R T 2 M A R C H 2 0 1 7 THE ADVOCATE Q&A WITH CLINIC PARTICIPANT KEVAN HANOWSKI Can you tell me a little bit about your experience with the Bobinski Business Law Clinic? Being part of the first cohort of students was a neat experience because we were given the opportunity to provide input on the topics and practice matters about which we wanted to learn. Since the Clinic was just starting, a lot of things were still undecided—how the lectures would be structured, what kind of retainer clients would be required to sign, the scope of work that we could assist clients with and the types of additional projects that we would be required to complete. We were able to provide feedback on all of these matters, which made it feel like we were helping to shape the curriculum of the class. I worked with two clients on my own, in addition to the class project work that I did. One client was interested in setting up a new organization but was not sure about whether a corporation or society would be the preferable format, so I put together an advice letter that set out the advantages and disadvantages of each. The other client I worked with wanted to set up a business with two classes of shares, so I worked through the incorporation procedure from start to finish, and also drafted customized clauses for the articles that set out the special rights and restrictions attached to each class of shares. How would you describe the experience? The Clinic allowed me to learn more about the day-to-day practice of law, which is something that I had little exposure to in law school. The only way to really learn what it is like to see a file through from open to close is to do it for yourself, and the Clinic gives you that opportunity. The Clinic also lets you develop some basic client-interaction skills, such as how to do an intake interview and how to keep your client updated about the status of a file and also how to manage expectations. How has it helped your growth and education as a law student? How do you think it will help you in your future career? The Clinic allowed me to develop some practical skills and also to better understand the role that a solicitor plays in the life of a business. The Clinic was really the first time that I realized the crucial role that legal advice plays in enabling businesses to achieve their objectives in a way that shields them from unnecessary risk and liability. However, the Clinic also helped me realize that, while lawyers necessarily place law in the “foreground”, for most businesses the law is in the “background”—it is the hidden machinery that allows them to do what they want to do or prevents them from doing
